Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the CaseSherpa platform, website, and SMS communications operated by CaseSherpa Ventures, LLC (“CaseSherpa,” “we,” “us,” or “our”). By creating a CaseSherpa account, using the platform, or providing your mobile phone number to receive SMS messages from CaseSherpa, you agree to be bound by these Terms.

If you do not agree to these Terms, do not use CaseSherpa or provide your mobile phone number for SMS communications.

Who we are

CaseSherpa is a HIPAA-compliant care-coordination platform used by healthcare practices to manage patient care across multiple programs, including chronic care management, navigation, and procedure-pathway coordination. CaseSherpa is provided as software to healthcare organizations and their authorized staff; SMS communications are sent to patients enrolled by their healthcare providers.

CaseSherpa Ventures, LLC is a Mississippi limited liability company.

Eligibility

You must be at least 18 years old, or the legal guardian of a minor patient, to use CaseSherpa or to consent to receive SMS messages from CaseSherpa.

Healthcare provider users must be authorized employees, contractors, or affiliates of a healthcare organization with a valid business relationship with CaseSherpa.

Accounts and authorized use

Access to the CaseSherpa platform requires an account issued to an authorized healthcare provider user. You are responsible for:

  • Maintaining the confidentiality of your account credentials.
  • All activity that occurs under your account.
  • Notifying CaseSherpa promptly of any unauthorized use.

You agree not to share credentials, create accounts for unauthorized individuals, or attempt to access another user’s account or data.

Patient data and HIPAA

CaseSherpa handles Protected Health Information (“PHI”) as defined by the Health Insurance Portability and Accountability Act (“HIPAA”). CaseSherpa operates as a Business Associate of partner healthcare providers and processes PHI in accordance with each provider’s Business Associate Agreement and applicable law. You agree to use the platform only for permitted purposes under HIPAA and to safeguard PHI you access.

SMS communications

Patients receive SMS communications from CaseSherpa on behalf of their healthcare provider only after explicitly opting in. The following terms apply to all SMS communications.

Opt-in

You may opt in to receive SMS messages from CaseSherpa at https://casesherpa.com/sms-signup/ by providing your name and mobile phone number and checking the consent checkbox. Consent is not a condition of receiving healthcare services.

Message types

Authorized SMS message content includes:

  • Telehealth appointment scheduling links and reminders
  • Pre-visit screening survey links
  • Procedure scheduling confirmations and reminders
  • Pre-procedure and post-procedure care instructions
  • Care coordination follow-ups from your assigned care manager
  • General service messages (e.g., confirmation of opt-out)

CaseSherpa will not use SMS to send marketing or promotional content unrelated to your care.

Message frequency

Most patients receive between 2 and 8 messages per month while actively enrolled in a care program. Frequency varies by program and by stage of care.

Message and data rates

Standard message and data rates from your wireless carrier may apply. CaseSherpa does not charge a separate fee for SMS messages, but your carrier may. Contact your wireless carrier for the specifics of your plan.

Opt-out

You may opt out at any time by replying STOP to any SMS message from CaseSherpa. You will receive a one-time confirmation that you have been unsubscribed. After opting out, you will not receive further SMS messages from CaseSherpa unless you opt back in by replying START or by re-enrolling at the sign-up page above.

Carrier disclaimer

The CaseSherpa SMS service is compatible with all major U.S. wireless carriers, including AT&T, Verizon, T-Mobile, U.S. Cellular, and most regional carriers. Wireless carriers are not liable for delayed or undelivered messages.

Acceptable use

You agree not to:

  • Use CaseSherpa to violate any law, regulation, or third-party right.
  • Attempt to gain unauthorized access to the platform, its servers, or other accounts.
  • Interfere with or disrupt the platform, including by introducing malware or denial-of-service traffic.
  • Reverse engineer, decompile, or disassemble any portion of the platform.
  • Use automated means to scrape, mine, or otherwise extract data from the platform.
  • Send abusive, harassing, or unlawful communications through the platform or SMS service.

Intellectual property

CaseSherpa and its licensors retain all right, title, and interest in and to the platform, including all software, content, branding, and trademarks. These Terms do not grant you any right to use the CaseSherpa name, logo, or other trademarks without our prior written consent.

Privacy

Your use of CaseSherpa and the SMS service is also governed by our Privacy Policy, available at https://casesherpa.com/privacy-policy/, which is incorporated into these Terms by reference.

Disclaimers

CaseSherpa is not a healthcare provider. CaseSherpa does not practice medicine, provide medical advice, diagnose, or treat any condition. All clinical decisions are made by licensed healthcare providers using their own judgment. Communications you receive through CaseSherpa originate from or on behalf of your healthcare provider.

The platform and SMS service are provided “as is” and “as available,” without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. CaseSherpa does not warrant that the platform will be uninterrupted, error-free, or completely secure.

Limitation of liability

To the maximum extent permitted by law, CaseSherpa and its affiliates, officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the platform or SMS service. Our total aggregate liability for any claim arising out of these Terms shall not exceed one hundred U.S. dollars ($100).

Indemnification

You agree to indemnify, defend, and hold harmless CaseSherpa and its affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to your use of the platform or SMS service, your violation of these Terms, or your violation of any third-party right.

Termination

CaseSherpa may suspend or terminate your account or SMS enrollment at any time, with or without notice, for any reason, including for violation of these Terms. You may stop using the platform at any time and may opt out of SMS at any time by replying STOP.

Changes to these Terms

We may update these Terms from time to time. The “Effective date” at the top reflects the most recent change. Continued use of the platform or continued receipt of SMS messages after a change constitutes acceptance of the updated Terms. Material changes will be communicated through the platform or by other reasonable means.

Governing law

These Terms are governed by the laws of the State of Mississippi, without regard to its conflict-of-laws principles. Any dispute arising out of or related to these Terms shall be resolved exclusively in the state or federal courts located in Mississippi, and you consent to the personal jurisdiction of those courts.

Entire agreement and severability

These Terms, together with the Privacy Policy and any other agreements expressly incorporated by reference, constitute the entire agreement between you and CaseSherpa regarding your use of the platform and SMS service. If any provision of these Terms is held to be invalid or unenforceable, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
